TERMS & CONDITIONS – Sugam Media

  1. Introduction

Welcome to Sugam Media (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our website, products, and marketing automation services, including our integrations with WhatsApp Official API, RCS Business Messaging, and other digital communication tools (collectively referred to as “Services”).
By accessing or using our Services, you (“User,” “Client,” or “you”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our Services.
This document constitutes a legally binding agreement between you and Sugam Media, a proprietorship business operating in India, engaged in advertising and marketing automation solutions.

  1. Definitions
    “Company” means Sugam Media, its proprietor, agents, and authorized representatives.
    “Client” or “User” refers to any individual or entity accessing or using our Services.
    “Services” include advertising campaigns, digital marketing solutions, WhatsApp Business API and RCS integration, automation tools, and related consulting services.
    “Platform” means the website, applications, or digital interfaces operated by Sugam Media.
    “Meta” refers to Meta Platforms, Inc., the owner of WhatsApp and its associated business APIs.
    “RCS” means Rich Communication Services, a communication standard provided by telecom operators and Google.
  2. Acceptance of Terms
    By signing up, accessing, or using our Services, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. These Terms shall apply to all users, visitors, and clients of Sugam Media.
    If you use our Services on behalf of a company or organization, you represent that you are authorized to bind such entity to these Terms.
  3. Description of Services
    Sugam Media provides advertising and marketing services, including digital campaign management, WhatsApp Business API integration, RCS messaging automation, and related marketing communication services.
    Our Services help clients communicate with customers through approved messaging channels in compliance with Meta’s and telecom operators’ business communication policies.
    We may enhance, modify, or discontinue certain Services from time to time, with or without notice.
  4. Eligibility
    To use our Services, you must:
    Be at least 18 years old.
    Have the legal capacity to enter into a binding contract.
    Operate a lawful business or service in compliance with Indian laws.
    Provide accurate business and identity verification details when required by Meta or telecom providers.
  5. Account Registration
    Certain Services may require registration. You must provide accurate, complete, and updated information.
    You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. Sugam Media will not be liable for any loss resulting from unauthorized access.
  6. User Responsibilities
    You agree to use our Services only for lawful marketing and communication activities. You must not:
    Use the platform for spam, phishing, or unsolicited messages.
    Send prohibited or misleading content via WhatsApp or RCS.
    Infringe intellectual property rights of others.
    Violate Meta or telecom messaging policies.
    Misuse or attempt to reverse-engineer the Service.
    Failure to comply may result in suspension or termination of your access without notice.
  7. Payment & Billing Terms
    All fees for paid services are due as per the billing terms presented at the time of subscription or engagement. Payments are accepted through approved methods (UPI, bank transfer, or payment gateway).
    All charges are quoted in Indian Rupees (INR) unless stated otherwise.
    Late payments may attract interest or lead to suspension of Services. Sugam Media reserves the right to revise pricing with prior notice.
  8. Subscription Renewal & Termination
    Subscriptions automatically renew unless cancelled before the renewal date.
    You may terminate your subscription anytime, but no refunds will be issued for prepaid terms unless otherwise specified.
    Sugam Media reserves the right to suspend or terminate Services if:
    You breach these Terms.
    Your activity violates applicable law or Meta/RCS policies.
    Payment obligations are not met.
  9. Use of WhatsApp Official API & RCS
    Sugam Media acts as a facilitator for WhatsApp Business API and RCS messaging solutions. Usage of these services is governed by Meta’s WhatsApp Business Policy and the respective telecom operators’ RCS messaging guidelines.
    Clients are solely responsible for message templates, content approval, and compliance with Meta and telecom rules. Sugam Media assists in configuration and technical setup but is not liable for approval rejections or account suspensions caused by policy violations.
  10. Message Delivery & Compliance Policy
    We aim to ensure reliable message delivery via verified WhatsApp and RCS channels. However, delivery may depend on factors such as telecom network conditions, user consent, and platform policies.
    You agree to obtain valid user consent before sending marketing or transactional messages. Sugam Media disclaims responsibility for delivery failures due to third-party networks or user blocking.
  11. Intellectual Property Rights
    All intellectual property rights, including trademarks, logos, graphics, software, and content, remain the exclusive property of Sugam Media or its licensors.
    You may not reproduce, distribute, or modify our materials without written consent. Any content created by Sugam Media for client campaigns remains the client’s property upon full payment, unless otherwise agreed.
  12. Confidentiality
    Both parties agree to maintain the confidentiality of proprietary information, including customer data, business strategies, and marketing materials.
    Sugam Media will not share confidential data except as required for providing Services or by law.
  13. Disclaimer of Warranties
    Sugam Media provides Services on an “as is” and “as available” basis. We do not guarantee that Services will be uninterrupted, error-free, or fully compatible with all devices.
    We disclaim all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.
  14. Limitation of Liability
    To the maximum extent permitted by law, Sugam Media shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services.
    Our total liability in any case shall not exceed the amount paid by the client in the preceding three months.
  15. Indemnification
    You agree to indemnify and hold harmless Sugam Media, its proprietor, employees, and partners from any claims, damages, or expenses arising from your use of our Services, violation of these Terms, or infringement of third-party rights.
  16. Governing Law (India)
    These Terms shall be governed and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in [City, India], where Sugam Media operates.
